1. Acceptance of Terms

By accessing or using Twende Meru ("the Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our services. These Terms apply to all visitors, users, and others who access or use the Platform.

2. Description of Service

Twende Meru is a digital platform that connects users with businesses, events, attractions, properties, and community stories in Meru County, Kenya. We provide a directory service, event listings, property rentals, and community engagement features. We act as an intermediary and do not directly provide the services offered by listed businesses.

3. User Accounts

Registration

To access certain features, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate.

Account Security

You are responsible for safeguarding your account credentials and for any activities or actions under your account. You must notify us immediately of any unauthorized use of your account.

4. User Conduct

You agree not to:

• Use the Platform for any unlawful purpose or in violation of any laws
• Post false, misleading, or fraudulent content
• Harass, abuse, or harm other users or businesses
• Impersonate any person or entity
• Interfere with or disrupt the Platform's security or functionality
• Collect or harvest user data without consent
• Use automated systems to access the Platform without permission
• Post spam, advertisements, or unsolicited promotional content

5. Business Listings

For Business Owners

If you list a business on our Platform, you represent and warrant that:

• You are authorized to represent the business
• All information provided is accurate and not misleading
• Your business complies with all applicable Kenyan laws and regulations
• You have the right to use any images or content submitted

Listing Approval

We reserve the right to review, approve, reject, or remove any business listing at our discretion. Listings that violate these Terms or our guidelines may be removed without notice.

6. Property Listings

Property listings on Twende Meru are provided for informational purposes. We do not guarantee the accuracy of property information, availability, or condition. Users should verify all property details directly with landlords before making any commitments.

7. Reviews and User Content

By submitting reviews, stories, or other content ("User Content"), you grant us a non-exclusive, royalty-free, worldwide license to use, display, and distribute your content on our Platform.

You are solely responsible for your User Content. Reviews must be honest, based on genuine experiences, and not contain defamatory, offensive, or illegal content. We reserve the right to moderate and remove User Content that violates these Terms.

8. Subscription Packages

We offer various subscription packages for businesses. By subscribing, you agree to:

• Pay the applicable fees as specified in your chosen package
• Understand that fees are non-refundable unless otherwise stated
• Accept that package features may change with reasonable notice

9. Promoter Programme, Complaints and Withdrawals

Twende Meru may connect event organizers with promoters. Promoters earn commissions according to the promotion terms displayed for the event. Promoters are paid directly by the event organizer, not by Twende Meru. Twende Meru provides the platform, records and support process, but is not the promoter's payer or guarantor of an organizer's payment obligation.

• Commissions are subject to the event's stated holding period. The holding period is the safety period after a qualifying ticket sale while the ticket and event activity are checked; earnings become available only after it ends.
• A promoter may request withdrawal of an available balance. A withdrawal request does not bypass the holding period or the event organizer's payment obligation.
• Withdrawals can take up to 48 hours to process. Weekends and public holidays may take longer.
• Transaction costs may be incurred depending on the payment method, but will not exceed KSh 200 per transaction.
• Promoters should raise an issue through the complaint workflow. Twende Meru may review records, facilitate a conversation, invite the event organizer to share their side, and support resolution, but does not replace the organizer as payer.

10. Intellectual Property

The Platform, including its design, logos, text, graphics, and software, is owned by Twende Meru and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works from our content without express written permission.

11. Disclaimer of Warranties

The Platform is provided "as is" and "as available" without warranties of any kind. We do not guarantee that the Platform will be uninterrupted, secure, or error-free. We are not responsible for the quality, safety, or legality of services provided by listed businesses.

12. Limitation of Liability

To the maximum extent permitted by law, Twende Meru shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform or any services obtained through listed businesses. Our total liability shall not exceed the amount you paid to us in the past twelve months.

13. Indemnification

You agree to indemnify and hold harmless Twende Meru, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Platform, violation of these Terms, or infringement of any third-party rights.

14. Termination

We may suspend or terminate your account at any time for violations of these Terms or for any other reason at our discretion. Upon termination, your right to use the Platform will immediately cease. Provisions that by their nature should survive termination shall remain in effect.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of Kenya. Any disputes arising from these Terms or your use of the Platform shall be subject to the exclusive jurisdiction of the courts of Kenya.

16. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of significant changes by posting a notice on the Platform or via email. Your continued use of the Platform after changes constitutes acceptance of the modified Terms.
